Every company is required to have a registered office address maximum by 15 days after successful company registration. However, if during the course of its business if there is any change in registered office of a company, such change must be registered with the Registrar of Company. In this blog we will discuss the process to be followed for registration of any change in registered office address.
Any registered company is free to change their register address at any time. There are various reason influencing the decision to change the registered office address of a company. We have listed out few such reasons for your better understanding:

Here, we will discuss the compliances that are required to be done as per Companies Act, 2013[1] for registering any change in the registered office address of the company along with form filing requirement on the website of Ministry of Corporate Affairs.
If there is any change in the registered office of private limited company from one place to another within the same state, it needs to be intimated to the Registrar in Form No. INC-22 along with submission of prescribed fee. The following documents need to be attached to Form INC-22:
In case of change in the registered office of a company from one city, village or tehsil but within the same state, the company has to pass a special resolution for it. For registering such special Resolution MGT-14 is required to be filed within 30 days. Along with MGT-14 such change is to be intimated to ROC through filing INC-22 with 30 days of such change.
If a company wishes to implement change in the registered office from one state to another state, the company needs to amend its Memorandum of Association. A special resolution needs to be passed by the company to alter its MOA. This special resolution needs to be filed with ROC within 30 days of passing the resolution.
To change the registered office from one state to another, the office needs to get approval from the central government in Form No. INC-23.
Within 60 days of application, the central government will dispose of the application for change in the registered office. Once the change is approved by RD, the company needs to file this approval with ROC within a period of 60 days from the date of approval. This approval given by the central government shall be filed with the registrars of both states in which the old registered office was situated and in which the new registered office is situated.
