In this article, we will focus on the process of Company Registration in Kolkata. Company Registration is a process wherein all the companies are registered through MCA’s portal (Ministry of Corporate Affairs). The process is carried out online. Registering a company comes with certain benefits. Company registration is a seamless process; however, several steps are to be carried out for the registration.
A Private Limited Company presents with the legal protection and limited liability to its shareholders. Mimimum two directors are required for a private limited company. In a Private Limited Company, a person can be both director and shareholder. A Private Limited Company (PLC) can commence its operations, soon after getting Certificate of Incorporation. A PLC can be incorporated within 15 days of its application.
Thus, in this article we will be focusing on the benefits, procedure of Private Limited Company Registration in Kolkata.

Step 1: Acquire DSC
The company registration procedure requires a digital signature to incorporate a private limited company, as the process is online. Subscribers and directors must have a valid DSC, either of Class II or Class III.
Step 2: Apply for DIN
A director must have a DIN; if he doesn’t have, he must apply for DIN on MCA. One DIN can be used to become directors in any number of companies.
Step 3: Apply for Name Approval
The company’s name has to be submitted for approval along with SPICe (INC-32) at the time of incorporation. The name, if not approved, can be resubmitted.
Step 4: e- MoA (INC-33) and e-AoA (INC-34)
Earlier, MoA & AoA were required to be filed physically, but now these documents are to be file online on the MCA website[1]. The subscribers must digitally sign these documents.
Step 5: Application for PAN and TAN
The applicant must consider applying for PAN and TAN after all the filings are complete.
Step 6: Certificate of Incorporation
MCA & RoC will review all the documents, and if satisfied, they will issue a Certificate of Incorporation. The Certificate of Incorporation is a legal document and provides legal status to the company.
Step 7: Opening a Bank Account
After obtaining the certificate of incorporation, the company must open a bank account for all the transactions in the company’s name.
