{"id":5134,"date":"2017-11-16T18:00:32","date_gmt":"2017-11-16T12:30:32","guid":{"rendered":"https:\/\/enterslice.com\/learning\/?p=5134"},"modified":"2020-12-08T15:37:11","modified_gmt":"2020-12-08T10:07:11","slug":"companies-act-2013","status":"publish","type":"post","link":"https:\/\/enterslice.com\/learning\/companies-act-2013\/","title":{"rendered":"Compliance Checklist for Company after Registration as per Companies Act 2013"},"content":{"rendered":"<p class=\"has-drop-cap\">Every private Company needs to comply with the Companies Act 2013 requirement and hence timely comply will save cost and penal action by the government.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Following Compliance Requirement for the Private Limited Company?<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Companies Registered Office<\/strong><\/h3>\n\n\n\n<p>Filling of E-form INC-22 within 15 days from the date of incorporation for setting up the registered office of the Company.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Corporate Stationary<\/strong><\/h3>\n\n\n\n<ul><li><strong> Name Board<br><\/strong><\/li><\/ul>\n\n\n\n<p>Every Company shall paint or affix a board outside the office stating its name and registered office address.<\/p>\n\n\n\n<ul><li><strong> Letter Heads<br><\/strong><\/li><\/ul>\n\n\n\n<p>The registered office name &amp; address, CIN, Email-ID, Telephone, website (if any), fax, etc., shall be printed on all the letterheads, invoices, and other <strong>official documents of the Company<\/strong>.<\/p>\n\n\n\n<ul><li><strong> Rubber Stamps &amp; Common Seal<br><\/strong><\/li><\/ul>\n\n\n\n<p>Rubber Stamps requires being purchased in the name of the Company and the name of the director.<\/p>\n\n\n\n<p>A round seal bearing name of the company and a seal bearing the name of the company along with a designation of the authorized signatory could be purchased. However, the requirement for embossing common seal for a Company has been made optional as per the <strong>Companies <a class=\"glossaryLink\"  aria-describedby=\"tt\"  data-cmtooltip=\"&lt;div class=glossaryItemTitle&gt;Amendment&lt;\/div&gt;&lt;div class=glossaryItemBody&gt;An &amp;quot;amendment&amp;quot; refers to the formal change or correction of a legal document, often involving additions, variations, or deletions to address irregularities or clarify points in an agreement.(...)&lt;\/div&gt;\"  href=\"https:\/\/enterslice.com\/learning\/terms\/amendment\/\"  data-gt-translate-attributes='[{\"attribute\":\"data-cmtooltip\", \"format\":\"html\"}]'>Amendment<\/a> Act, 2015<\/strong><sup><a href=\"http:\/\/www.mca.gov.in\/MinistryV2\/companiesact2013.html\">[1]<\/a><\/sup>.<\/p>\n\n\n\n<ul><li><strong> Share Certificates<br><\/strong><\/li><\/ul>\n\n\n\n<p>The company must deliver share certificates to all the subscribers of the <a href=\"https:\/\/enterslice.com\/company-registration\"><strong>Company Registration<\/strong><\/a> within a period of 2 months from the date of incorporation and payment of Stamp Duty on Issuance of Share Certificate within 30 days. The subscribers to the Memorandum of Association of the Company would deposit the money for the shares agreed to be purchased and take share certificates of the Company in return.<\/p>\n\n\n\n<ul><li><strong> Statutory Register &amp; Minutes Papers (loose leaf) &amp; Minutes Binder<br><\/strong><\/li><\/ul>\n\n\n\n<p>All companies are required to maintain a statutory register containing information like the register of members, list of directors, charges, debentures and other matters pertaining to the shareholders and management of the company. The Statutory Register must be regularly updated and proceedings of the meetings (Board \/ General \/ Committee Meetings) shall be printed on the minute&rsquo;s paper and shall be maintained in the minute binders\/book which shall be kept at the registered office of the Company.<\/p>\n\n\n\n<ul><li><strong> Apply for PAN\/ TAN<br><\/strong><\/li><\/ul>\n\n\n\n<p>The Company requires applying for Permanent Account Number (PAN) \/ Tax Deduction Account Number (TAN)<\/p>\n\n\n\n<div class=\"read\"><p><b>Recommended Post:<\/b> <mark><a href=\"https:\/\/enterslice.com\/learning\/key-managerial-personnel-companies-act-2013\/\">Key Managerial Personnel Companies Act 2013<\/a><\/mark>.<\/p><\/div>\n\n\n\n<h2 class=\"wp-block-heading\">Conveying the first Board Meeting<\/h2>\n\n\n\n<p>The Company shall convene its 1st Board Meeting within the period of 30 days from the date of the incorporation to consider the following matters:<\/p>\n\n\n\n<ul><li>Taking on record the Certificate of Incorporation\/ maintain the copies of Incorporation documents,<\/li><li>Noting of Registered Office address of the Company,<\/li><li>Noting of first directors,<\/li><li>Disclosure of Interest by Directors in form MBP-1,<\/li><li>Approval of preliminary expenses,<\/li><li>Approval for the opening of a Current Accounts,<\/li><li>Appointment of the first Statutory Auditors within 30 days from the date of registration of the Company,<\/li><li>Authorization for Statutory registrations,<\/li><li>Obtaining GST\/ Service Tax \/ VAT\/ IEC (Import Export Code), Professional Tax, Provident Fund, Registrations, etc. depending on the type of the Company \/ Business,<\/li><li>Obtaining Registration under Shops and Establishment Act,<\/li><li>Approval of draft policies related to the employer, HR, etc.,<\/li><li>Approval of draft agreements related to the privacy policy for website, NDA, agreements to be entered with the vendors, etc.,<\/li><li>Obtaining Registration-related to protection under Intellectual <a class=\"glossaryLink\"  aria-describedby=\"tt\"  data-cmtooltip=\"&lt;div class=glossaryItemTitle&gt;Property&lt;\/div&gt;&lt;div class=glossaryItemBody&gt;Property refers to the legal designation of ownership over valuable items or assets held by an individual or a business.
