The prime objective of the MSA is to facilitate the contract process and provide support to companies to manage customer expectations. It aims to build rapport and improve the scope of service delivery. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Contents of a Master Service\nAgreement<\/h2>\n\n\n\n<p><strong><em>The main contents of an MSA are specified below.<\/em><\/strong><\/p>\n\n\n\n<ul><li>The parties to the\ncontract mutually agree not to share any secrets of the company with anyone.\nThus, confidentiality is one of the main content of an MSA.<\/li><li>It shall contain the\ndetails regarding the delivery requirements<\/li><li>If there is an issue among\nthe parties, the MSA specifies how the parties can resolve their issue. Thus,\nit provides dispute resolution.<\/li><li>It shall spell out\nregarding geographic locations. The parties agree about the pace where the\nemployees shall work. <\/li><li>The parties to the\ncontract shall determine how the ownership and regulation of patents and other\nIP shall be handled. In some cases, the client gets all the IP, whereas the\nvendor gives perpetual rights in others.<\/li><li>The MSA specifies the\nlimitations of Liability. It mentions who shall be responsible in a suit.<\/li><li>It shall also mention the\nterms for payment. These terms shall specify the estimated cost and the\nschedule of payment.<\/li><li>The MSA determines the\nplace where the resolution shall take place. It could be through arbitration or\nin a specific state etc.<\/li><li>The MSA shall define the\nwork standards, as not following the work standards often leads to disputes. The basic idea is to include as many details as possible broadly\nso that the companies don&rsquo;t have to get entangled in negotiations later.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What is the significance of a\nMaster Service Agreement?<\/h2>\n\n\n\n<p><strong>The Master Service\nAgreement (MSA) allows the companies to discuss their terms of the deal, thereby\nhelping them to go further with the work laid down in the agreement.<\/strong> It helps businesses to\nuse MSA in order to make the contract negotiations easy. In case one doesn&rsquo;t\nhave MSA still the company and the customers may go through the issues\nsuccessfully; however, there could be bigger concerns that may dissuade the\ncontract. The importance of the MSA can be perceived by the fact that it allows\nthe companies to concentrate on their contractual issues like the time period\nand the price. <\/p>\n\n\n\n<p>MSA is like an intricate agreement\nthat means when there is no particular contract; then the companies don&rsquo;t need\nto deal with the duress of time. There could be an opportunity for a partnership that may appear\nsuddenly. While implementing an MSA, a company doesn&rsquo;t need to face issues\narising from contracts that are not well constructed. It clearly means that an\nMSA helps companies in avoiding chances of litigation and any contractual\ndisputes. However, a company needs to keep a check on their MSA and make\namendments as technology, markets, and operating environment changes\nconstantly.<\/p>\n\n\n\n<p><strong>Whenever\nthere is a deal between parties, one party would never want to take all the\nresponsibility for the mistakes made by the other party; therefore, the MSA\nguarantees to handle all the financial losses in case a party messes it up<\/strong>. Risk allocation is another\nimportant factor. A new deal may affect existing contracts if the businesses\nagree to an MSA.&nbsp; <\/p>\n\n\n\n<p>MSAs biggest advantage is that it\nhelps in resolving disputes easily as the parties know the terms and can figure\nout the fault quickly. When it comes to completing a contract between two\nbusinesses, it may take a long time and may require a lot of money. A deal that\nis done quickly serves the interests of every person; therefore, MSA ensures\nthat the parties mutually agree to a few things. It agrees to speed up the\nprocess of negotiation where a company may write MSA in a few days time, which\nis faster than a standard contract negotiation. Another important aspect of MSA\nis that it can still protect the parties when the agreement is in place. If a\ndispute accrues, then the MSA adjudicates who is at fault. The two businesses\nmay not sue, as checking the document is easy. Hence, it saves time and money.<\/p>\n\n\n\n<p>Another benefit of the Master Service\nAgreement is it is a good blueprint. Whenever a company prepares an MSA, it is\neasy to copy. A good MSA is like a template for future negotiations. Both\nparties get enough time to concentrate on the vital parts of the discussion,\nthe time and cost required to conclude the project. The MSA also serves as\nevidence to prove the standard of service guaranteed.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Important points to remember\nwhile drafting a Master Service Agreement<\/h3>\n\n\n\n<p>There are few details that will\nassist the parties like pre deciding possible issues is critical as the\nbusiness today faces a lot of problems. There are areas which, if not\naddressed, may lead to conflicts in the future. These include delivery and\ninstallation, where the MSA should specify about the delivery and the\ninstallation of products. If a situation demands, the\nMSA must clearly lay down which business shall assume the risk.
