{"id":2915,"date":"2017-07-23T16:59:24","date_gmt":"2017-07-23T11:29:24","guid":{"rendered":"https:\/\/enterslice.com\/learning\/?p=2915"},"modified":"2020-11-17T18:22:27","modified_gmt":"2020-11-17T12:52:27","slug":"bse-listing-process","status":"publish","type":"post","link":"https:\/\/enterslice.com\/learning\/bse-listing-process\/","title":{"rendered":"BSE Listing Process and Requirement"},"content":{"rendered":"<p>In this article we shall discuss the BSE (Bombay Stock Exchange) listing process and requirements.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Minimum Listing Requirements for New Companies<\/h2>\n\n\n\n<p>The following eligibility criteria have been prescribed for listing of companies on BSE, through <a href=\"https:\/\/enterslice.com\/ipo-readiness-advisory\"><strong>Initial Public Offerings<\/strong><\/a> (IPOs) &amp; Follow-on Public Offerings (FPOs):<\/p>\n\n\n\n<ul><li>Minimum paid capital should be Rs. 10 Cr for IPO and Rs. 3 Cr for FPO.<\/li><li>Issue size cannot be less than Rs. 10 Cr.<\/li><li>The minimum capitalization post-issue should be not less than Rs. 25 Cr.<\/li><\/ul>\n\n\n\n<p><strong>Take permission to use the name of BSE in a Company&rsquo;s Prospectus<\/strong><\/p>\n\n\n\n<p>Companies which desire to list their shares\/ securities offered through a public issue are compulsorily required to obtain the prior permission of BSE to use their name in their prospectus and other documents before filing the same with the Registrar of Companies (ROC).<\/p>\n\n\n\n<p><strong>&nbsp;<\/strong>Then, BSE may grant permission to companies to use the name of BSE in their prospectus\/offer documents.<\/p>\n\n\n\n<p><strong>Then comes the Letter of Application<\/strong><\/p>\n\n\n\n<p>A&nbsp;Letter of Application of company which is seeking to list its securities on Bombay Stock Exchange(BSE) is required to submit to all the designated stock exchanges where it wants to have its securities listed before filing the same with the&nbsp;<strong>Registrar of Companies&nbsp;<\/strong>(ROC).<\/p>\n\n\n\n<p><strong><a class=\"glossaryLink\"  aria-describedby=\"tt\"  data-cmtooltip=\"&lt;div class=glossaryItemTitle&gt;Allotment&lt;\/div&gt;&lt;div class=glossaryItemBody&gt;An allotment is the systematic distribution of business resources, often pertaining to the distribution of shares during initial public offerings (IPOs) to underwriting firms or to new and(...)&lt;\/div&gt;\"  href=\"https:\/\/enterslice.com\/learning\/terms\/allotment\/\"  data-gt-translate-attributes='[{\"attribute\":\"data-cmtooltip\", \"format\":\"html\"}]'>Allotment<\/a> of Securities<\/strong><\/p>\n\n\n\n<p>Within 30 days of the date of closure of the subscription list, a company is required to complete allotment of shares and then approach the Designated Stock Exchange for approval of the <a class=\"glossaryLink\"  aria-describedby=\"tt\"  data-cmtooltip=\"&lt;div class=glossaryItemTitle&gt;Basis&lt;\/div&gt;&lt;div class=glossaryItemBody&gt;In finance, the &amp;quot;basis&amp;quot; is a term with several applications, including representing the difference between the spot price and the future contract price of an asset, which is vital in investment(...)&lt;\/div&gt;\"  href=\"https:\/\/enterslice.com\/learning\/terms\/basis\/\"  data-gt-translate-attributes='[{\"attribute\":\"data-cmtooltip\", \"format\":\"html\"}]'>basis<\/a> of allotment.<\/p>\n\n\n\n<p><strong>Trading Permission<\/strong><\/p>\n\n\n\n<p>A company should take trading permission as per&nbsp;<strong>SEBI Guidelines<\/strong><sup><a href=\"http:\/\/www.sebi.gov.in\/sebiweb\/home\/HomeAction.do?doListing=yes&amp;sid=1&amp;ssid=5&amp;smid=0\" target=\"_blank\" rel=\"noreferrer noopener\">[1]<\/a><\/sup>, and an issuer company should complete all the formalities for trading which are required for all the designated stock exchanges where the securities are to be listed that too within 7 working days of finalization of the basis of allotment.<\/p>\n\n\n\n<p>By 30th April of every financial year, all listed companies are required to pay&nbsp;<strong>BSE listing<\/strong>&nbsp;fees as per the Schedule of Listing Fees prescribed from time to time.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">BSE Listing requirement for SME<\/h2>\n\n\n\n<p><strong>The basic requirements for SME listing are as follows:<\/strong><\/p>\n\n\n\n<ul><li><strong>&nbsp;<\/strong>Post issue paid-up capital should not be less than Rs. 3 Cr<\/li><li>The net worth of the company (as per latest balance sheet) should not be less than Rs, 3 cr.<\/li><li>The company should have net tangible assets of Rs. 3 Cr as per latest Balance sheet.<\/li><li>Soundtrack record is mandatory. There should be sufficient distributable profits as per Section 123 of the Companies Act 2013 for 2 years proceeding out of 3 years.
