A company must enter into an agreement with the shareholders. The objective of a\nshareholder&rsquo;s agreement is to define the duties and rights of shareholders in a\ncompany.<\/p>\n\n\n\n<p>A shareholder&rsquo;s agreement assures\nfair treatment of all shareholders and also ensures that every shareholder\nknows their power and responsibilities within the company. A written\nshareholder&rsquo;s agreement will make it easier to remove a shareholder later on.<\/p>\n\n\n\n<p>The shareholder agreement of\nthe Company&nbsp;defines the activities that tell the shareholders what they\ncan and cannot do within the company. Voluntary vs Involuntary Removals &ndash;<\/h3>\n\n\n\n<p>Before removing a\nshareholder, Firstly, it is required to know whether the shareholder is leaving\nthe company voluntarily or involuntarily. <\/p>\n\n\n\n<p>Voluntary removal of a shareholder\nis a simple process, as the shareholder himself\/herself wants to remove his\/her\nname as a shareholder of the company.<\/p>\n\n\n\n<p>In the case of involuntary\nremovals, the shareholders have violated the shareholder&rsquo;s agreement or company\nbylaws before they can be ejected out of the company.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">2. Resolution-<\/h3>\n\n\n\n<p>Passing Shareholder&rsquo; removal resolution shall be the next step after the shareholder&rsquo;s agreement. After drafting the resolution, a company shall present to the <a href=\"https:\/\/en.wikipedia.org\/wiki\/Board_of_directors\">Board of Directors<\/a> the draft of the Resolution.<\/p>\n\n\n\n<p><strong>The resolution must contain-<\/strong><\/p>\n\n\n\n<ul><li>The resolution must include\nthe correct information. <\/li><li>The reason for removing the\nshareholder <\/li><li>In case of violation of laws\nand by rules, the resolution must include the reason for removing the\nshareholder. <\/li><\/ul>\n\n\n\n<p>The <a href=\"https:\/\/enterslice.com\/shareholders-agreement\">shareholder&rsquo;s agreement<\/a> must describe the process of involuntary removal. Otherwise, a company cannot force out a shareholder until they have violated the Company statute. Once the resolution is passed the Company Secretary and Board of directors should sign the removal resolution.<\/p>\n\n\n\n<p>In case of where a company\ndoes not have a shareholder&rsquo;s agreement, or if the shareholder to be removed\nhasn&rsquo;t violated company rules, the resolution must pass by a 3\/4<sup>th<\/sup> majority\nvote. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Under what circumstances, a Company can remove the shareholder?<\/h2>\n\n\n\n<p>A company can remove the\nshareholder under the below-mentioned circumstances-<\/p>\n\n\n\n<p><strong>1. Shareholder&rsquo;s\nDispute<\/strong>-When a situation arises where the\ndirector is in dispute with a Shareholder which ultimately results in wanting\nto remove the shareholder. However, forcing the shareholder to quiet the shares\nis a very difficult thing to implement, and the shareholder has the right to\nretain the shares.<\/p>\n\n\n\n<p><strong>2. Transfer of shares<\/strong>-Transfer of shares results in the removal of the existing shareholder from the register of member and adding a new shareholder in the shareholder&rsquo;s list by issuing a <strong><a href=\"https:\/\/enterslice.com\/learning\/share-certificate-requirement-procedure\/\">Share certificate<\/a><\/strong>. The new shareholder in place of the existing shareholder will then pay the full value of the Purchase price.<\/p>\n\n\n\n<p><strong>3.Shareholder&rsquo;s\nDeath<\/strong>&ndash; A\ncircumstance where a shareholder dies, the shares can be transferred on to a\nnamed beneficiary whose name is mentioned as a Nominee or Beneficiary. If this\nhappens, the company director follows the procedure of transfer form in order\nto hand over the shares to the respective person. However, If the Articles of\nthe Company does not permit and prohibit share transfers to non-members, the\nprocess may not be allowed.<\/p>\n\n\n\n<p>However, the <a href=\"https:\/\/enterslice.com\/shareholders-agreement\">shareholder agreement<\/a> of the Company specifies what should happen in the case of the death of a shareholder. Usually, it involves a process of transmitting the shares to the beneficiary, or an agreement to make the shares available for purchase by existing shareholders.<\/p>\n\n\n\n<p>Intimation of <strong>Removal of shareholders<\/strong> to the Authority-In case of any change occurs in the shareholding pattern of the Company. The Company is required to intimate it to the ROC.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Can a Majority Shareholder remove the Minority shareholder?<\/strong><\/h2>\n\n\n\n<p>Removing the Minority shareholder by a Majority shareholder is the simplest if a shareholder&rsquo;s agreement is well draft. The Majority shareholder can simply buy out a minority shareholding at a predetermined price.
