Balance sheet, Profit and Loss Account.<\/strong><\/li><li><strong>Particulars of the <a class=\"glossaryLink\"  aria-describedby=\"tt\"  data-cmtooltip=\"&lt;div class=glossaryItemTitle&gt;Shareholder&lt;\/div&gt;&lt;div class=glossaryItemBody&gt;A shareholder is an individual or entity that owns at least one share of a company&amp;#039;s stock, granting them partial ownership of the company. This status allows them certain rights, including(...)&lt;\/div&gt;\"  href=\"https:\/\/enterslice.com\/learning\/terms\/shareholder\/\"  data-gt-translate-attributes='[{\"attribute\":\"data-cmtooltip\", \"format\":\"html\"}]'>shareholder<\/a> and shareholding pattern,<\/strong><\/li><li><strong>Detail of registered address and disclosure in case of a change in the registered address.<\/strong><\/li><li><strong>Disclosure of Shares and Debentures.<\/strong><\/li><li><strong>Directorship Details and disclosure in case of any change.<\/strong><\/li><\/ul>\n\n\n\n<p><strong>In this blog, we will discuss the Financial Statement filing\nand criteria required while filing the Financial statement of the Company. <\/strong><\/p>\n\n\n\n<p>Financial Statement is a statement that reflects the\naccountability of the company. The financial statement is a source of\ncommunication between the entity and shareholders. For filing financial\nstatements form AOC-4 is required to be filed for each financial year with the\nRegistrar of the Companies. Financial Statement includes &ndash;<\/p>\n\n\n\n<ul><li>Balance Sheet,<\/li><li>Profit and Loss Account,<\/li><li>Explanatory note annexed to the above\ndocument.<\/li><\/ul>\n\n\n\n<div class=\"shadow1\"><strong>NOTE:<\/strong> Form AOC-4: For filing a financial statement and other documents (For FY start on or after 01.04.2014)<br>\n\nForm AOC4- CFS: Form for filing statement containing salient features of consolidated financial statement of a group (For FY start on or after 01.04.2014)<br>\n\nForm AOC4-XBRL: For filing XBRL document in respect of financial statement and other documents (For FY start on or after 01.04.2014)\n<\/div><br>\n\n\n\n<h3 class=\"wp-block-heading\">Criteria for filing Financial Statement-<\/h3>\n\n\n\n<ol><li><strong>The financial\nstatement shall reflect the true and fair view of the state of affairs of the\ncompany.<\/strong><\/li><li><strong>&nbsp;It shall comply with the <a class=\"glossaryLink\"  aria-describedby=\"tt\"  data-cmtooltip=\"&lt;div class=glossaryItemTitle&gt;Accounting&lt;\/div&gt;&lt;div class=glossaryItemBody&gt;Accounting is the language of business, serving as the backbone of financial management and decision-making. It involves the systematic recording, analysis, and reporting of financial(...)&lt;\/div&gt;\"  href=\"https:\/\/enterslice.com\/learning\/terms\/accounting\/\"  data-gt-translate-attributes='[{\"attribute\":\"data-cmtooltip\", \"format\":\"html\"}]'>accounting<\/a> standards.\nHowever, In the case where the financial statement does not comply with the\naccounting standards, the company shall disclose them in its financial\nstatements the below-mentioned points-<\/strong><\/li><li><strong>Deviation of the accounting standards.<\/strong><\/li><li><strong>Reason for the accounting standards.<\/strong><\/li><li><strong>Financial effects arising out of such deviations.<\/strong><\/li><li><strong>The financial\nstatement shall be in the form as may be prescribed for different classes of\ncompanies in Schedule III.<\/strong><\/li><\/ol>\n\n\n\n<h2 class=\"wp-block-heading\">Non-Applicability\nof Financial Statement-<\/h2>\n\n\n\n<p>The\napplicability of Financial Statement shall not apply to-<\/p>\n\n\n\n<ul><li><strong>Insurance Company,<\/strong><\/li><li><strong>Banking Company,<\/strong><\/li><li><strong>Engagement of the company in the generation or supply of electricity,<\/strong><\/li><li><strong>Any other class of company for which a form of financial statement has\nbeen specified in the Act governing the class of company.<\/strong><\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Applicability of AOC-4 XBRL filing in Financial Statement-<\/h2>\n\n\n\n<ul><li>Companies listed with the stock exchange in India and their Indian subsidiaries.<\/li><li>Companies having a capital of <strong>5 crores or above<\/strong>.<\/li><li>Companies having a turnover of <strong>100 crores or more<\/strong>.<\/li><li>Companies which necessitate preparing their financial statements in accordance with <strong>Companies (Indian Accounting Standards) Rules, 2015<\/strong><\/li><li><strong>Note-<\/strong>However, the companies under the Companies <strong>(Accounting Standards) Rules, 2006<\/strong> preparing their financial statements shall file the statements using the Taxonomy provided in <strong>Annexure-II<\/strong> and <\/li><li>Companies under Companies <strong>(<a href=\"https:\/\/enterslice.com\/learning\/applicability-of-indian-accounting-standards\/\">Indian Accounting Standards<\/a>) Rules, 2015<\/strong>, preparing their financial statements shall file the statements using the Taxonomy provided in <strong>Annexure-II A.<\/strong><\/li><\/ul>\n\n\n\n<p><strong>Due Date for filing financial Statement-<\/strong><\/p>\n\n\n\n<p>The following provisions along with the due date are applicable for\nfiling the financial statement with the Roc-<\/p>\n\n\n\n<p><strong>Case I-Financial\nstatement adopted at the AGM along with the consolidated financial statements\nand documents which are attached to the financial statements.<\/strong><\/p>\n\n\n\n<p><strong>Due\nDate<\/strong>-Due date for filing-Within 30 days of the annual general\nmeeting along with the fees.<\/p>\n\n\n\n<p>However, in the case of\nOPC, the time period shall be taken as 180 days from the closure of the\nfinancial year.<\/p>\n\n\n\n<p><strong>Case II<\/strong>&ndash;<strong>In the\ncase of an adjourned meeting-<\/strong><\/p>\n\n\n\n<p><strong>Due\nDate<\/strong>-Within 30 days of the adjourned annual general meeting along\nwith fees\/additional fees as prescribed.<\/p>\n\n\n\n<p><strong>Case\nIII- If financial statements are unadopted<\/strong><\/p>\n\n\n\n<div class=\"shadow1\"><strong>Note-<\/strong> Due Date within <b>30 days<\/b> of the Annual General Meeting. The financial statements, along with the documents, will be considered provisional until the time the adopted financial statements are filed.<\/div>\n\n\n\n<p><strong>Case\nIV-If AGM is not held<\/strong><\/p>\n\n\n\n<div class=\"shadow1\"><strong>Note-<\/strong> Within 30 days from the date when the AGM should have been held along with fees\/additional fees as prescribed.<\/div>\n\n\n\n<p><strong>The\nfinancial statements, along with the documents and the reason for not holding\nthe AGM, have to be held.<\/strong><\/p>\n\n\n\n<p><strong>Key segments of Financial statement Filing-<\/strong>The following key points in the segment is required to\nbe mentioned-<\/p>\n\n\n\n<p><strong>Segment Part I-Information in respect of Balance sheet<\/strong><\/p>\n\n\n\n<ul><li>Corporate Identification Number.<\/li><li>The name, registered office, email ID and date of incorporation will be automatically filled on clicking the pre-fill button.<\/li><\/ul>\n\n\n\n<div class=\"shadow1\"><strong>Note-<\/strong> In case of a change in the email ID then the same can be updated. The <a class=\"glossaryLink\"  aria-describedby=\"tt\"  data-cmtooltip=\"&lt;div class=glossaryItemTitle&gt;Authorized Capital&lt;\/div&gt;&lt;div class=glossaryItemBody&gt;Authorized capital, often referred to as &amp;quot;authorized shares&amp;quot; or &amp;quot;authorized stock,&amp;quot; is a fundamental concept in the world of finance and business. It plays a pivotal role in determining a(...)&lt;\/div&gt;\"  href=\"https:\/\/enterslice.com\/learning\/terms\/authorized-capital\/\"  data-gt-translate-attributes='[{\"attribute\":\"data-cmtooltip\", \"format\":\"html\"}]'>authorized capital<\/a> and the number of members as on the date of filing will also be pre-filled.<\/div>\n\n\n\n<ul><li>The Start date and end date of the financial year are to be entered.<\/li><li>Details of the date of the Board of Directors&rsquo; meeting in which the financial statements and Boards&rsquo; reports are approved along with the details of the signing of reports on the financial statements by the auditors.<\/li><li>Particulars of whether the Annual General Meeting was held and if yes date of AGM shall be entered.<\/li><li>Particulars of the auditor\/auditor&rsquo;s firm along with the membership number of the auditor\/ firm&rsquo;s registration number.<\/li><li>Particulars related to the applicability of consolidated financial statements and the maintaining of books in the electronic form needs.<\/li><li>Financial specification of the balance sheet<\/li><\/ul>\n\n\n\n<p><strong>Segment II-Specification in respect of Profit and loss\naccount are required to be fulfilled.<\/strong><\/p>\n\n\n\n<p><strong>Segment III-Specification of CSR Policy (IF\nAPPLICABLE)-<\/strong><\/p>\n\n\n\n<ul><li>Applicability of\nCSR ALONG with the threshold limit of CSR.<\/li><li>Prescribed CSR\nexpenditure percentage should be mentioned, and the details regarding the\nspecified activity have to be mentioned in the format as specified.<\/li><\/ul>\n\n\n\n<p><strong>Segment IV-Divulgence about the Related party\ntransaction and particulars of the transaction\/ contracts entered on arm&rsquo;s\nlength price.<\/strong><\/p>\n\n\n\n<p><strong>Segment V-Particulars of the Auditor&rsquo;s Report and\napplicability of the Secretarial Audit.<\/strong><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Certification of the financial statement Filing-<\/h2>\n\n\n\n<p><strong>&nbsp;Certification in the form of the declaration has to be given by the <\/strong><\/p>\n\n\n\n<ul><li>Director\/or<\/li><li>Manager\/or<\/li><li>Secretary\/or<\/li><li>CEO\/CFO\ncertifying that all information provided in the form is true and correct the is\nin proper compliance with the law.<\/li><li>Further,\nthe form has to be digitally signed along with the DIN of the director or PAN\nof the Manager\/CEO\/CFO. <\/li><li>A\nfull-time PCA\/Cost Accountant\/ Company Secretary has to provide a declaration\nstating he\/she has verified all the documents attached and also certifies that all\nthe information to be true, correct and complete.<\/li><\/ul>\n\n\n\n<p>Conclusively, Every Company incorporated under the Companies Act 1956 or <strong><a href=\"https:\/\/www.mca.gov.in\/Ministry\/pdf\/CompaniesAct2013.pdf\">Companies Act 2013<\/a><\/strong> is necessitated to file the financial statement in FORM AOC-4, which also encompass the Director&rsquo;s Report along with necessary documents.
