However, depending upon the nature of the business or in due course, the shifting of Registered Office of the Company might change and with respect to that, it is necessary to intimate the Registrar of Companies accordingly.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What is the\nreason applicable for change in the Registered Office of the Company?<\/h2>\n\n\n\n<p><strong><em>There are many reasons where the requirement of change\nin Registered Office required:<\/em><\/strong><\/p>\n\n\n\n<ul><li>If the\nRegistered Office is on rent and Lease period has been expired which cannot be\nrenewed further.<\/li><li>Acquisition of\nthe Company.<\/li><li>The Company is\nplanning to expand the business and required huge manpower for the same.<\/li><li>The Company\nhas sufficient funds to purchase its <a class=\"glossaryLink\"  aria-describedby=\"tt\"  data-cmtooltip=\"&lt;div class=glossaryItemTitle&gt;Property&lt;\/div&gt;&lt;div class=glossaryItemBody&gt;Property refers to the legal designation of ownership over valuable items or assets held by an individual or a business. This ownership grants the holder certain legal rights to use, consume,(...)&lt;\/div&gt;\"  href=\"https:\/\/enterslice.com\/learning\/terms\/property\/\"  data-gt-translate-attributes='[{\"attribute\":\"data-cmtooltip\", \"format\":\"html\"}]'>property<\/a>.<\/li><li>By shifting at\na particular place will be advantageous for the Company for better\nadministrative, convenience, effective and smooth running of the business.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Types of\nchanges of Registered Office<\/h2>\n\n\n\n<p><strong>The registered office address will fall accordingly depending upon the location of the new registered office address and the categorization can be done accordingly: <\/strong><\/p>\n\n\n\n<ol><li>Shifting of\nRegistered Office within local limits of city town or village.<\/li><li>Shifting of\nRegistered Office within the same state but outside the local limit of city\ntown or village within the same Registrar of Companies.<\/li><li>Shifting of\nRegistered Office within the same state but from one Registrar of Companies to\nanother Registrar of Companies.<\/li><li>Shifting of\nRegistered Office from one state to another State.<\/li><\/ol>\n\n\n\n<p>Now, let&rsquo;s understand step by step procedure as\nmentioned under the Companies Act, 2013 regarding the change of Registered\nOffice address<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">1. Shifting of Registered Office within local limits of city town or village<\/h3>\n\n\n\n<p>If there is a change in the registered office of\nthe Company within the local limits of a city town or village it needs to be\nintimated to the Registrar of Companies and the following procedure need to be\nfollowed:<\/p>\n\n\n\n<ul><li>Call the Board\nMeeting and pass the resolution for the same.<\/li><li>File Form\nINC-22 with the Registrar of Companies within 15 days from the date of passing\nof the resolution.<\/li><\/ul>\n\n\n\n<p><strong>Attachments:<\/strong><\/p>\n\n\n\n<ul><li>Proof of\nRegistered Office of the Company (Conveyance\/Lease Deed\/Rent Agreement).<\/li><li>Copy of\nutility bill (not older than 2 months).<\/li><li>NOC from the\nowner to use the premises.<\/li><\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">2. Shifting of Registered Office within the same State but outside the Local Limit of a city town or village<\/h3>\n\n\n\n<p>If the Company wants to shift the Registered Office\nfrom One city to another but within the same state it shall require to follow the\ncertain procedure as prescribed by the Act:<\/p>\n\n\n\n<ul><li>Hold the Board\nMeeting and fix the day, date, time and venue to convene the Extra Ordinary\nGeneral Meeting.<\/li><li>Hold the Extra\nOrdinary General Meeting of the Company and pass the Special Resolution for the\nsame.<\/li><li>File the form\nMGT-14 with the Registrar of Companies within 30 days from the date of passing\nof the resolution.<\/li><\/ul>\n\n\n\n<p><strong>Attachments<\/strong><\/p>\n\n\n\n<p><strong>Form\nMGT-14<\/strong><\/p>\n\n\n\n<ul><li>A certified true copy of the special resolution.<\/li><\/ul>\n\n\n\n<ul><li>File Form INC-22 with the <strong><a href=\"https:\/\/enterslice.com\/company-registration\">Registrar of Companies<\/a><\/strong> within 15 days of passing of the resolution.<\/li><\/ul>\n\n\n\n<p><strong>Form\nINC-22<\/strong><\/p>\n\n\n\n<ul><li>Proof of\nRegistered Office of the Company (Conveyance\/Lease Deed\/Rent Agreement).<\/li><li>Copy of\nutility bill (not older than 2 months).<\/li><li>NOC from the\nowner to use the premises.<\/li><li>Special\nResolution.<\/li><\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">3. Shifting of Registered Office within the same state but from one Registrar of Companies to another Registrar of Companies<\/h3>\n\n\n\n<p>If the Company wants to shift the registered office from one Registrar of Companies to another but within the same state then the Company needs to follow the procedure as per the <strong>Companies Act, 2013<\/strong><sup><a href=\"http:\/\/www.mca.gov.in\/Ministry\/pdf\/CompaniesAct2013.pdf\">[1]<\/a><\/sup>.<\/p>\n\n\n\n<ul><li>Hold the Board\nMeeting and fix day, date time and venue of the Extra Ordinary General Meeting.<\/li><li>Convene the\nExtra Ordinary General Meeting and Pass the special resolution for the alteration\nof Memorandum of Association and Shifting of Registered Office.<\/li><li>Publish Newspaper\nAdvertisement one in daily English Newspaper and One in vernacular Newspaper\nwhere the registered office of the Company is situated.<\/li><li>File form\nMGT-14 with the Registrar of Companies within 30 days from the date of passing\nof Resolution.<\/li><\/ul>\n\n\n\n<p><b>Also, Read:<\/b> <mark style=\"background: #fffd03 !important;\"><a href=\"https:\/\/enterslice.com\/learning\/shifting-registered-office-company-one-state-another\/\">Shifting of Registered Office of the Company From one State to Another<\/a><\/mark>.<\/p>\n\n\n\n<p><strong>Attachments:<\/strong><\/p>\n\n\n\n<ul><li>A certified true copy of the Resolution passed in the Extra Ordinary General Meeting<\/li><\/ul>\n\n\n\n<p>The Company shall make the application to Regional\nDirector after the expiry of 30 days of publishing newspaper advertisement and\nshall file form INC-23.<\/p>\n\n\n\n<p><strong>Application\nto RD in Form INC-23<\/strong><\/p>\n\n\n\n<p>The Company shall not less than one month before\nfiling any application with the Regional Director for change in Registered\nOffice:<\/p>\n\n\n\n<ol><li>Publish a\nnotice at least once in a daily newspaper published in English and in the principal\nlanguage of that district in which the Registered Office of the Company is\nsituated.<\/li><li>Serve the\nIndividual notice on each debenture holder, depositor, creditor of the Company,\nindicating the matter of application and stating that any person whose interest\nis likely to be affected by the proposed alteration in Memorandum of\nAssociation may intimate his nature of interest and ground of opposition to the\nRegional Director within 21 days of the date of publication of that notice.<\/li><\/ol>\n\n\n\n<p>If no objection is received by the Regional\nDirector within 21 days it will be deemed consent for shifting of Registered\nOffice.<\/p>\n\n\n\n<p><strong>Attachments:<\/strong><\/p>\n\n\n\n<ul><li>Certified True Copy of the Notice of EGM<\/li><li>A certified true copy of the resolution passed at the EGM<\/li><li>Minutes of EGM<\/li><li>Copy of Newspaper Advertisement<\/li><li>Copy of altered Memorandum of Association.<\/li><li>An affidavit verifying the application<\/li><li>The list of creditors and debenture holders entitled to the objections<\/li><li>Declaration from the Key Managerial Personnel and any two Directors that the Company has not defaulted in payments of due to its workmen<\/li><li>Any other Document as required, if any<\/li><\/ul>\n\n\n\n<p>The confirmation by Regional Director shall be\ncommunicated within 30 days from the date of receipt of the application by the\nRegional Director to the Company.<\/p>\n\n\n\n<p>The Company shall file the Form INC-28 with the\nRegistrar of Companies within 30 days from the day of order of Regional\nDirector to Registrar of Companies.<\/p>\n\n\n\n<p>Thereafter file the Form INC-22 with the Registrar\nof Companies within 15 days of the order of Regional Director along with the\nfollowing documents;<\/p>\n\n\n\n<ul><li>Proof of\nRegistered Office address (Conveyance\/Lease Deed\/Rent Agreement).<\/li><li>Copies of the\nUtility bill (not older than 2 months).<\/li><li>NOC from the\nowner to use the premises.<\/li><\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">4.
