Section 39 of the Indian&nbsp;Partnership&nbsp;Act, provides that &ldquo;the&nbsp;dissolution&nbsp;of the partnership&nbsp;between all the partners of a&nbsp;firm&nbsp;is called&nbsp;&ldquo;dissolution&nbsp;of a&nbsp;firm.&rdquo; It implies the complete breakdown of all the relation between all the partners as well as realizing the assets and the liabilities of the firm and sharing the gain and loss between the partners. <\/p>\n\n\n\n<figure class=\"wp-block-image\"><img decoding=\"async\" loading=\"lazy\" width=\"659\" height=\"372\" src=\"https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/06\/Dissolution-of-Partnership-Firm.png\" alt=\"Dissolution of Partnership Firm\" class=\"wp-image-19797\" srcset=\"https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/06\/Dissolution-of-Partnership-Firm.png 659w, https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/06\/Dissolution-of-Partnership-Firm-300x169.png 300w\" sizes=\"(max-width: 659px) 100vw, 659px\"\/><\/figure>\n\n\n\n<p>There\nare different ways through which a firm may be dissolved which are mentioned as\nfollows:<\/p>\n\n\n\n<ol><li>Dissolution by agreement (Section &ndash; 40)<\/li><li>Compulsory Dissolution ( Section &ndash; 41)<\/li><li>Contingent Dissolution ( Section &ndash; 42)<\/li><li>Dissolution by notice ( Section -43)<\/li><li>Dissolution through court ( Section &ndash; 44)<\/li><\/ol>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Dissolution of Partnership by Agreement under Section &ndash; 40<\/strong><\/h2>\n\n\n\n<p>The firm is not a separate legal entity and is represented through partners and a <a href=\"https:\/\/enterslice.com\/partnership-firm\" target=\"_blank\" rel=\"noreferrer noopener\" aria-label=\"partnership firm (opens in a new tab)\">partnership firm<\/a> may be dissolved with the consent of all the partners. The condition precedent would be if all the partners agree to dissolve the partnership or a contract has been made for dissolution of partnership then it will be dissolved by necessary intimation to the Registrar of firms.<\/p>\n\n\n\n<div class=\"wp-block-image\"><figure class=\"aligncenter is-resized\"><img decoding=\"async\" loading=\"lazy\" src=\"https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/06\/Dissolution-of-Partnership-Firm.jpg\" alt=\"Dissolution of Partnership Firm\" class=\"wp-image-19802\" width=\"371\" height=\"269\" srcset=\"https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/06\/Dissolution-of-Partnership-Firm.jpg 626w, https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/06\/Dissolution-of-Partnership-Firm-300x218.jpg 300w\" sizes=\"(max-width: 371px) 100vw, 371px\"\/><\/figure><\/div>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Compulsory Dissolution under Section &ndash; 41<\/strong><\/h2>\n\n\n\n<p>A <a href=\"https:\/\/enterslice.com\/partnership-firm\">Partnership firm<\/a> can be\ndissolved compulsorily by the Registrar of firm due to two reasons which are as\nfollows: <\/p>\n\n\n\n<ol><li>By adjudication of all partner but one as\ninsolvent<\/li><li>By happening of any event which makes it\nunlawful for the business of the firm to be carried on.<\/li><\/ol>\n\n\n\n<p>It is also provided that if a firm has more than one undertaking and unlawfulness of one undertaking does not affect then the firm will not dissolve.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Contingent Dissolution of Firm under section &ndash; 42&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/strong><\/h2>\n\n\n\n<p>Under\nthis case a firm will be dissolved on the happening of certain events. Hence,\nthe dissolution of firm depends on the happening or non- happening of following\nevent. This type of dissolution is also known as contingent dissolution.<\/p>\n\n\n\n<ol><li>If the time period for which firm was constituted\nhas been expired.<\/li><li>If the firm was constituted for one or more\npurposes, adventures or undertaking and it has been completed.<\/li><li>By the death of a partner<\/li><li>By adjudication of a partner as insolvent<\/li><\/ol>\n\n\n\n<p>Therefore,\ncontingent dissolution of firm depends on these four events only. The above\nlist is exhaustive in nature. It is discretion of the Registrar of firm to\ndecide whether to dissolve the firm.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Dissolution by Notice under Section &ndash; 43<\/strong><\/h2>\n\n\n\n<p>Under\nthis type of dissolution of firm the partnership can be dissolved by any\npartner by giving notice to all other partners of his intention of dissolving\nthe firm. This type of dissolution can only happen in case of partnership at\nwill. Partnership will dissolve on the date mentioned on the notice or in case\nno date is mentioned on the notice then on the date of communication of notice\nto all the partners.<\/p>\n\n\n\n<p>This section gives power to partners to dissolve the firm if no agreement is made. Also, any partner can exit from the partnership and extinguish its assets and liabilities from the firm.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Dissolution through Court under Section &ndash; 44<\/strong><\/h2>\n\n\n\n<p>Under\nthese cases a firm shall be dissolved by the court only. Following are the\ninstances in which a firm can be dissolved by court:<\/p>\n\n\n\n<ul><li>That any partner has become unsound mind and his next friend brought the suit in the forum. <\/li><\/ul>\n\n\n\n<p>In this\ncase if any partner is not able to handle the pressure of the business or if\nmentally unstable due to any professional or personal reasons.<\/p>\n\n\n\n<ul><li>That any partner during the course of business\nis unable to perform his duties as partner.<\/li><\/ul>\n\n\n\n<p>In this\ncase if any partner is not able perform the business duties during the course\nof business proceeding. For example: if partner suffering from incurable\ndisease, or permanently disabled that is unable to perform duty.<\/p>\n\n\n\n<ul><li>That a partner is guilty of misconduct which is\nlikely to affect prejudicially the carrying on of the business.<\/li><\/ul>\n\n\n\n<p>In this\ncase if any partner breaks any rules or regulation or bye &ndash;laws of the <\/p>\n\n\n\n<p>firm\nand is accounted as misconduct then partnership firm will be dissolved. For\nexample- if any partner purchase\/sale of any goods without with prior\npermission from the other partner or disclose any confidential information to\nany outsider.<\/p>\n\n\n\n<ul><li>That any partner commits breach of agreement of:<ul><li>Management of the affairs of the firm.<\/li><li>The conduct of its business.<\/li><li>Conducts its business which is not practicable for other partners to carry on business.<\/li><\/ul><\/li><\/ul>\n\n\n\n<ul><li>That a partner has transferred the whole of his\ninterest in the firm to a third party or has allowed his share to be charged\nunder the provision of rule 49 of Order XXI of the first Schedule to the <a href=\"https:\/\/indiacode.nic.in\/handle\/123456789\/2191?sam_handle=123456789\/1362\">Code of\nCivil Procedure 1908<\/a> or allowed to be sold.<\/li><\/ul>\n\n\n\n<p>In this\ncase if any partner sold his interest or sold his share to third person then he\nwill not be considered as partner of the firm and firm will be dissolved.<\/p>\n\n\n\n<ul><li>That business is running in losses for a long\nperiod.<\/li><\/ul>\n\n\n\n<ul><li>On any other ground which appears to the court\njust and equitable after considering the facts of the case.<\/li><\/ul>\n\n\n\n<p>In this section it gave wide power to court to take up matter relating to any dissolution of firm which is not mentioned from sub-clause (a to f). It is the court to decide whether it would be just and equitable to dissolve the partnership.
