In this act the government added an ordinance, and made\nit mandatory to appoint a women director in the board of directors of companies\nmeeting specific criteria. <\/p>\n\n\n\n<p>According\nto the Companies Act 2013 the criteria of companies who need to appoint women\ndirectors are:<\/p>\n\n\n\n<ul><li>Every Listed Company <\/li><li><a href=\"https:\/\/enterslice.com\/public-limited-company\">Every Public Company<\/a> having minimum paid up share capital of Rs.100 crore or more<\/li><li>Every Public Company having minimum turnover of Rs.300 crore or more<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Directors as per the Companies Act\n2013<\/h2>\n\n\n\n<p>Under the <strong>Section 149(1) of the Companies Act 2013<\/strong><sup><a href=\"https:\/\/www.mca.gov.in\/Ministry\/pdf\/CompaniesAct2013.pdf\"><strong>[1]<\/strong><\/a><\/sup> every company who lies under the following criteria should have individuals as directors:<\/p>\n\n\n\n<ul><li>A public company should have minimum 3 directors, likewise a\nprivate company should have two directors, and a one person company should have\none person appointed as a director.<\/li><li>And these companies can have maximum fifteen directors.<\/li><\/ul>\n\n\n\n<p>And if they want to appoint more than fifteen directors, they need to pass a special resolution.<\/p>\n\n\n\n<div class=\"wp-block-image\"><figure class=\"aligncenter\"><img decoding=\"async\" loading=\"lazy\" width=\"583\" height=\"346\" src=\"https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/06\/image-47.png\" alt=\"director requirement\" class=\"wp-image-19368\" srcset=\"https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/06\/image-47.png 583w, https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/06\/image-47-300x178.png 300w\" sizes=\"(max-width: 583px) 100vw, 583px\"\/><figcaption>Director Requirement as per Companies Act 2013<\/figcaption><\/figure><\/div>\n\n\n\n<h2 class=\"wp-block-heading\">Applicability of having Women Directors\nas per Companies Act 2013<\/h2>\n\n\n\n<p>Also\ncompanies who lie in the criteria mentioned above should have at least one\nwoman director and should fulfill the following criteria:<\/p>\n\n\n\n<ul><li>Every listed company <\/li><li>They should have a paid up capital of Rs.100 crore and,<\/li><li>&nbsp;A maximum turnover of Rs.300 crore. <\/li><\/ul>\n\n\n\n<div class=\"wp-block-image\"><figure class=\"aligncenter\"><img decoding=\"async\" loading=\"lazy\" width=\"593\" height=\"407\" src=\"https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/06\/image-48.png\" alt=\"women director\" class=\"wp-image-19369\" srcset=\"https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/06\/image-48.png 593w, https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/06\/image-48-300x206.png 300w\" sizes=\"(max-width: 593px) 100vw, 593px\"\/><figcaption>Applicability of having Women Director<\/figcaption><\/figure><\/div>\n\n\n\n<h2 class=\"wp-block-heading\">How Women Directors are appointed?<\/h2>\n\n\n\n<p>Women directors can be appointed at the time of <a href=\"https:\/\/enterslice.com\/company-registration\">company formation<\/a> or after the company registration, by taking the approval of board of directors and the shareholders. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Eligibility to become a Women Director\n<\/h2>\n\n\n\n<p>There\nis a specified eligibility criterion for the appointment of a director. Any\nperson who wishes to become a director has to submit the following:<\/p>\n\n\n\n<ul><li><strong>DIN-Director Identification Number:<\/strong> A director identification number is a unique director identification number which have to be obtained by every director. Every director can have only one DIN. Therefore, firstly women directors need to obtain DIN to become a director.<\/li><li><strong>Consent to become a Director:<\/strong> Women directors need to give the consent in form DIR-2.<\/li><li><strong>Filing of Application<\/strong>: Within 30 days of appointment of the director the proposed women director has to file form DIR-12 with the registrar of companies<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">What are the Roles and Responsibilities\nof Women directors?<\/h2>\n\n\n\n<p>The roles and responsibilities are the same as that of any other director. A woman can act as an independent director who is responsible for improving corporate credibility of the company and also to improve governance standards of the company. Also, women directors can be appointed as a nominee director who mainly looks after and represents the interests of the appointee. An appointee can be a stakeholder, a creditor, or a <a class=\"glossaryLink\"  aria-describedby=\"tt\"  data-cmtooltip=\"&lt;div class=glossaryItemTitle&gt;Shareholder&lt;\/div&gt;&lt;div class=glossaryItemBody&gt;A shareholder is an individual or entity that owns at least one share of a company&amp;#039;s stock, granting them partial ownership of the company. An\nalternative director is appointed till the time the appointed director returns back.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Tenure of Women Directors<\/h2>\n\n\n\n<p>The tenure of the appointed women director is till the next Annual general meeting from the date of her appointment. She also can ask for reappointment in the meeting. The tenure of women director also depends on her retirement as any other director. A women director also can resign at any time she wishes giving a notice to the company.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Vacancy of the director position <\/h2>\n\n\n\n<p>An intermittent vacancy occurs when a women director leave the company due to the following reasons:<\/p>\n\n\n\n<div class=\"shadow1\"><ul><li>Resignation<\/li><li>Removal<\/li><li>Automatic vacancy<\/li><li>Retirement by rotation<\/li><\/ul><\/div>\n\n\n\n<p>The board of directors needs to fill this vacancy within three\nmonths.
