In today&rsquo;s world, contracts have become an indispensable part of our lives. From joining work by entering an employment contract to buying goods from a sale, we are entering into a contract every now and then. Such being the case one needs to know the basics of contract, what a Breach of contracts is and what are the remedies for breach of contract. <\/p>\n\n\n\n<p>In\nthis article, we&rsquo;ll discuss the basics of contracts, essentials of a contract\nand breach of contracts and its remedies. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What is a Contract? <\/strong><\/h2>\n\n\n\n<p>The\nIndian Contract Act, 1872 in section 2(h) defines contracts. It states a\ncontract is a legally enforceable agreement in oral or written form between two\nor more parties. In simple terms, it is a set of promises where one party\npromises to do something for the other for some benefit or consideration.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What is the Difference between Written and Oral Contract?<\/strong><\/h2>\n\n\n\n<p>The\nmain difference between an oral contract and a written one is that oral\ncontracts are harder to prove because they are not written down. The oral\ncontracts are susceptible to error because of lack of clarity and certainty.\nDue to this, one should always opt for written contracts. By putting the\nagreement in writing the parties get to know the terms and conditions which\nthey have agreed upon.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What are the Essentials of a ontract?<\/strong><\/h2>\n\n\n\n<p>Following\nare the essential characteristics of a contract-<\/p>\n\n\n\n<ol><li><strong>Offer and acceptance<\/strong><\/li><\/ol>\n\n\n\n<p>The\nparties to the contract must have a clear understanding of the subject matter\nof contract. There must be an offer from one party and acceptance of such offer\nby the other party. <\/p>\n\n\n\n<ul><li><strong>Competent parties<\/strong><\/li><\/ul>\n\n\n\n<p>Every\nparty should be competent to enter into an agreement. For instance, you cannot\nenter into an agreement with a minor. Both the parties must be major and of\nsound mind for entering into a contract.<\/p>\n\n\n\n<ul><li><strong>Free consent<\/strong><\/li><\/ul>\n\n\n\n<p>To\nform a valid contract the consent of the parties need to be free. All the\nparties must have agreed upon the subject matter of agreement in the same sense\nand in the same manner. If the agreement is caused by coercion, fraud,\nmisrepresentation or mistake then under section 14 of the Indian Contract Act,\nthe contract is deemed voidable and not enforceable by law.&nbsp; <\/p>\n\n\n\n<ul><li><strong>Lawful object and consideration<\/strong><\/li><\/ul>\n\n\n\n<p>If\nthe object of the agreement is unlawful, then the contract is void.<\/p>\n\n\n\n<p>Consideration\nmeans &ldquo;something in return&rdquo;. It means the price paid by one party for\nfulfilling the promise by another. If there is no consideration or the\nconsideration is unlawful then the contract is void.<\/p>\n\n\n\n<ul><li><strong>The agreement should not have been declared void<\/strong><\/li><\/ul>\n\n\n\n<p>Agreement\nshould not have been declared void under any law in India.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What is a Breach of Contracts? <\/strong><\/h2>\n\n\n\n<p>In\na contract, the parties are legally bound to perform their respective promises\nif the agreement is enforceable by law. Section 37 of the Indian Contract Act\nalso talks about this. It states that the parties are under an obligation to\nperform their promises unless and until such performance is dispensed under the\nContract Act or any other law.<\/p>\n\n\n\n<p>If\nthe parties deny the performance of such obligations then it amounts toa <a href=\"https:\/\/archive.india.gov.in\/business\/manage_business\/contracts_breach.php\" rel=\"nofollow noopener noreferrer\" target=\"_blank\">breach of a contract<\/a>. The breach can also occur if the party fails to\nfulfill their obligations specified in the contract, perform their obligation\nwithin the time specified, or they don&rsquo;t perform their obligation in accordance\nof the terms of the agreement.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What are the types of breach of\ncontract? <\/strong><\/h2>\n\n\n\n<p>Types\nof breach of contract-<\/p>\n\n\n\n<ul><li><strong>Minor breach<\/strong>&ndash;\nthis occurs when the party performs a substantial part of the contract but does\nnot fulfill a minor condition which does not affect the contract<\/li><li><strong>Material breach<\/strong>&ndash;\nUnder this, there is a breach of a substantial part of the contract giving the\nparty the right to sue for damages.<\/li><li><strong>Fundamental breach<\/strong>&ndash;\nThis happened when the party breaches the contract in such a way that the party\ndoes not any other option but to terminate the contract and seek damages.<\/li><li><strong>Anticipatory breach<\/strong>&ndash; Generally, contracts have a time limit for the\nfulfillment of the obligations. If one of the parties commits the anticipatory\nbreach, the party can take legal action.<\/li><li><strong>Actual Breach<\/strong>&ndash;\nThis happens when the parties fail to\nmeet the obligations stated in the contracts.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What are the remedies for breach of\ncontracts?<\/strong><\/h2>\n\n\n\n<p>There\nare few remedies available for breach of contracts- <\/p>\n\n\n\n<ul><li><strong>Recession of\ncontracts<\/strong><\/li><\/ul>\n\n\n\n<p>When\none of the parties doesn&rsquo;t fulfill their promises, then the other party is at\nliberty to rescind the contract and refuse the performance of their\nobligations. As per section 75 of the Indian Contract Act, the party rescinding\nthe contract is entitled to damages\/compensation.<\/p>\n\n\n\n<ul><li><strong>Sue for damages<\/strong><\/li><\/ul>\n\n\n\n<p>In\nsimple words, damages mean monetary compensation. When there is a breach of\ncontract the aggrieved party may seek damages. The main objective of this is to\nput the aggrieved party in the position where he would have been if the\ncontract would have been performed and there would not have been a breach of\ncontract.<\/p>\n\n\n\n<p>Section\n73 of the Contract Act clearly states compensation for loss caused due to a breach\nof contract can be claimed by the party who has suffered the loss.<\/p>\n\n\n\n<ul><li><strong>Sue for specific\nperformance<\/strong><\/li><\/ul>\n\n\n\n<p>Where\ndamages cannot bean adequate remedy, the Court may grant specific performance\nof the contracts. The court may direct the party who breached the contract to\nperform their part of the obligation according to the terms of the contract. <\/p>\n\n\n\n<ul><li><strong>Injunction<\/strong><\/li><\/ul>\n\n\n\n<p>An\ninjunction is an order of the court restraining a person from doing a\nparticular act. The power of the court to\ngrant an injunction is discretionary and it may be granted temporary or for an\nindefinite period.<\/p>\n\n\n\n<ul><li><strong>Quantum merit<\/strong><\/li><\/ul>\n\n\n\n<p>The term Quantum merit is derived from a Latin\nterm meaning &ldquo;what one has earned&rdquo;. &nbsp;A\nright to sue under quantum merit arises when the contract is partly performed\nby one party and has been discharged by breach of contract by another. The\nparty can file for quantum merit and may claim for payment for the work done. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Conclusion<\/strong><\/h2>\n\n\n\n<p>Contracts have been an indispensable part of our\nsociety and breach of contracts have become the most common disputes nowadays.\nTo cater to the needs of the society we should know the basics of contracts,\nbreach of contract and the remedies available for breach of contract.
