{"id":14269,"date":"2019-03-05T10:36:41","date_gmt":"2019-03-05T05:06:41","guid":{"rendered":"https:\/\/enterslice.com\/learning\/?p=14269"},"modified":"2021-02-08T17:10:13","modified_gmt":"2021-02-08T11:40:13","slug":"voluntary-retention-route-scheme","status":"publish","type":"post","link":"https:\/\/enterslice.com\/learning\/voluntary-retention-route-scheme\/","title":{"rendered":"RBI\u2019s Voluntary Retention Route to Draw Foreign Investment"},"content":{"rendered":"<p class=\"has-drop-cap\">The Reserve Bank of\nIndia (RBI) along with Government of India and Securities and Exchange Board of\nIndia (SEBI) has decided to introduce a new window called &ldquo;Voluntary Retention Route&rdquo;\nto encourage foreign investors in an attempt to draw in long term investments.\nThe Voluntary Retention Route, which was first suggested in October 2018, will\nbe open for investors from March 11, 2019.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What is Voluntary Retention Route?<\/strong><\/h2>\n\n\n\n<p>Voluntary Retention Route (VRR) is introduced to encourage Foreign Portfolio Investors (FPIs) to undertake long-term investments in Indian debt markets. Under this scheme, FPIs have been given greater operational flexibility in terms of instrument choices apart from exemptions from specific regulatory requirements. <\/p>\n\n\n\n<p>In simple terms, this scheme aims to draw in foreign investors who are\nwilling to commit to keeping money in India for a minimum period. In return,\nthey will get more operational freedom than regular foreign debt investors.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Who are the eligible investors under Voluntary Retention Scheme?<\/strong><\/h2>\n\n\n\n<p>Any <strong><a href=\"https:\/\/enterslice.com\/foreign-portfolio-investment-sebi\">Foreign Portfolio Investor<\/a><\/strong> who is registered with SEBI is eligible to participate through this Route. Moreover, the participation of an FPI under this route should be voluntary.<\/p>\n\n\n\n<div class=\"wp-block-image\"><figure class=\"aligncenter is-resized\"><img decoding=\"async\" loading=\"lazy\" src=\"https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/03\/Voluntary-Retention-Scheme.png\" alt=\"Who are the eligible investors under Voluntary Retention Scheme\" class=\"wp-image-14270\" width=\"742\" height=\"279\" srcset=\"https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/03\/Voluntary-Retention-Scheme.png 996w, https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/03\/Voluntary-Retention-Scheme-300x113.png 300w, https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/03\/Voluntary-Retention-Scheme-768x289.png 768w\" sizes=\"(max-width: 742px) 100vw, 742px\"\/><\/figure><\/div>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Eligible instruments under Voluntary Retention Scheme<\/strong><\/h2>\n\n\n\n<p> Following are the eligible instruments under\nVoluntary Retention Scheme:<\/p>\n\n\n\n<ul><li><strong>Investment Under VRR-Govt<\/strong><\/li><\/ul>\n\n\n\n<p>Under VRR-Govt, FPIs will be eligible to invest in any Government Securities as mentioned below:<\/p>\n\n\n\n<div class=\"wp-block-image\"><figure class=\"aligncenter is-resized\"><img decoding=\"async\" loading=\"lazy\" src=\"https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/03\/Voluntary-Retention-Scheme-1.png\" alt=\"Eligible instruments under Voluntary Retention Scheme\" class=\"wp-image-14271\" width=\"727\" height=\"332\" srcset=\"https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/03\/Voluntary-Retention-Scheme-1.png 956w, https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/03\/Voluntary-Retention-Scheme-1-300x137.png 300w, https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/03\/Voluntary-Retention-Scheme-1-768x351.png 768w\" sizes=\"(max-width: 727px) 100vw, 727px\"\/><\/figure><\/div>\n\n\n\n<ul><li><strong>Investment under VRR-Corp<\/strong><\/li><\/ul>\n\n\n\n<p>Under VRR-Corp, FPIs may invest in any instrument listed under Schedule 5 of Foreign Exchange Management (Transfer or Issue of Security by a Person Resident outside India) Regulations, 2017 notified vide <strong>Notification No. FEMA.20(R)\/2017-RB dated November 07, 2017<\/strong><sup><a href=\"https:\/\/rbi.org.in\/Scripts\/NotificationUser.aspx?Id=11161&amp;Mode=0\">[1]<\/a><\/sup>, other than those specified at 1A (a) and 1A (d) of that Schedule.<\/p>\n\n\n\n<ul><li><strong>Investment under Repo Transactions and\nReverse Repo Transactions<\/strong><\/li><\/ul>\n\n\n\n<p>FPIs can also invest under Repo\nTransactions which is better known as Repurchase Transactions and in Reverse\nRepo Transactions<\/p>\n\n\n\n<div class=\"read\"><p><b>Also, Read:<\/b> <mark><a href=\"https:\/\/enterslice.com\/learning\/foreign-venture-capital-investors\/\">A detailed study on Foreign Venture Capital Investors<\/a><\/mark>.<\/p><\/div>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Features of Voluntary Retention  Route<\/strong><\/h2>\n\n\n\n<p>Let us now discuss some of the various elements of the Voluntary Retention\nScheme:<\/p>\n\n\n\n<ul><li><strong>Aggregate investment limit:<\/strong><\/li><\/ul>\n\n\n\n<p>The investment shall be in addition to the General Investment Limit.<\/p>\n\n\n\n<ol><li>For\nVRR-Govt &ndash; &#8377; 40,000 crores<\/li><li>For\nVRR-Corp &ndash;  &#8377; 35,000 crores <\/li><\/ol>\n\n\n\n<p>Moreover, the investment limit must be released in one or more tranches<\/p>\n\n\n\n<ul><li><strong>Allocation of the Investment\namount<\/strong><\/li><\/ul>\n\n\n\n<p>The allocation of investment amount under this route to the FPIs shall be made on tap or through auctions. Moreover, details of the auction mechanism are <strong>given in here<\/strong><sup><a href=\"https:\/\/rbi.org.in\/Scripts\/NotificationUser.aspx?Id=11492&amp;Mode=0#A_2\">[2]<\/a><\/sup>.<\/p>\n\n\n\n<ul><li><strong>Mode of <a class=\"glossaryLink\"  aria-describedby=\"tt\"  data-cmtooltip=\"&lt;div class=glossaryItemTitle&gt;Allotment&lt;\/div&gt;&lt;div class=glossaryItemBody&gt;An allotment is the systematic distribution of business resources, often pertaining to the distribution of shares during initial public offerings (IPOs) to underwriting firms or to new and(...)&lt;\/div&gt;\"  href=\"https:\/\/enterslice.com\/learning\/terms\/allotment\/\"  data-gt-translate-attributes='[{\"attribute\":\"data-cmtooltip\", \"format\":\"html\"}]'>Allotment<\/a><\/strong><\/li><\/ul>\n\n\n\n<p>The mode of allotment,\nallocation to VRR-Govt and VRR-Corp categories and the minimum retention period\nshall be announced by the Reserve Bank ahead of allotment.<\/p>\n\n\n\n<ul><li><strong>Minimum Retention Period<\/strong><\/li><\/ul>\n\n\n\n<p>The minimum retention period under this\nscheme shall be for three years. Moreover, during the said period, FPIs shall\nmaintain a minimum of 75% of the allocated amount in India.<\/p>\n\n\n\n<ul><li><strong>Availability of Investment Limits<\/strong><\/li><\/ul>\n\n\n\n<p>Investment limits shall be available on tap for investments and shall be allotted by Clearing Corporation of India Ltd. (CCIL) on &lsquo;first come first served&rsquo; <a class=\"glossaryLink\"  aria-describedby=\"tt\"  data-cmtooltip=\"&lt;div class=glossaryItemTitle&gt;Basis&lt;\/div&gt;&lt;div class=glossaryItemBody&gt;In finance, the &amp;quot;basis&amp;quot; is a term with several applications, including representing the difference between the spot price and the future contract price of an asset, which is vital in investment(...)&lt;\/div&gt;\"  href=\"https:\/\/enterslice.com\/learning\/terms\/basis\/\"  data-gt-translate-attributes='[{\"attribute\":\"data-cmtooltip\", \"format\":\"html\"}]'>basis<\/a>. The investment limits under the current tranche shall be kept open till the limits are exhausted or till April 30, 2019, whichever is earlier.<\/p>\n\n\n\n<ul><li><strong>Application for Investment<\/strong><\/li><\/ul>\n\n\n\n<p>FPIs who desire to invest can directly apply\nonline to CCIL through their respective custodians. On the other hand, CCIL\nwill separately notify the operational details of application and allotment.<\/p>\n\n\n\n<ul><li><strong>Investment by FPIs<\/strong><\/li><\/ul>\n\n\n\n<p>FPIs shall invest the amount allocated,\ncalled the Committed Portfolio Size (CPS) in the relevant debt instruments and\nremain invested at all times during the voluntary retention period, subject to\nthe following relaxations:<\/p>\n\n\n\n<ol><li>The minimum investment of an FPI during the retention period shall be 75% of the CPS (The flexibility for modulating investments between 75%-100% of CPS is intended to enable FPIs to adjust their portfolio size as per their investment philosophy).<\/li><li>Also, the required investment amount shall be adhered to on an end-of-day basis. For this purpose, the investment shall include cash holdings in the Rupee accounts used for this Route.<\/li><\/ol>\n\n\n\n<p>However, please note that the amounts of investment shall be established by calculating in terms of the face value of securities.<\/p>\n\n\n\n<figure class=\"wp-block-image is-resized\"><img decoding=\"async\" loading=\"lazy\" src=\"https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/03\/Voluntary-Retention-Scheme-2.png\" alt=\"Voluntary Retention Scheme\" class=\"wp-image-14272\" width=\"704\" height=\"346\" srcset=\"https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/03\/Voluntary-Retention-Scheme-2.png 775w, https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/03\/Voluntary-Retention-Scheme-2-300x148.png 300w, https:\/\/enterslice.com\/learning\/wp-content\/uploads\/2019\/03\/Voluntary-Retention-Scheme-2-768x379.png 768w\" sizes=\"(max-width: 704px) 100vw, 704px\"\/><\/figure>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Management of portfolio<\/strong><\/h2>\n\n\n\n<ul><li>Successful allottees require to invest 25% of their CPS within one month and the remaining amount within three months from the date of allotment. Moreover, the retention period will commence from the date of allotment of limit.<\/li><li>Before the end of the active retention period, an FPI, if it so desires, may opt to continue investments under this Route for an additional identical retention period. In that case, it shall convey this decision to its custodian.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Options &nbsp;available to FPI in case of discontinuance under Voluntary Retention Route<\/strong><\/h2>\n\n\n\n<p>In case an FPI does not want to\ncontinue under VRR at the end of the retention period, FPI may:<\/p>\n\n\n\n<ul><li>Liquidate its portfolio and exit, or<\/li><li>It may shift its investments to the &lsquo;General Investment Limit&rsquo;. This shifting would be subject to the availability of limitations under the &lsquo;General Investment Limit&rsquo;.<\/li><\/ul>\n\n\n\n<p>FPIs that wish to liquidate their\ninvestments under the Route before the end of the retention period may do so by\nselling their stakes to another FPI or FPIs.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Violation\nby FPIs<\/strong><\/h2>\n\n\n\n<p>Any breach by FPIs shall be subject to regulatory action as determined by SEBI. FPIs are permitted, with the approval of the custodian, to regularize minor violations immediately upon notice, and in any case, within five working days of the offense. Custodians shall report all non-minor violations as well as minor violations that have not been regularized to SEBI.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Facilities available to FPIs<\/strong><\/h2>\n\n\n\n<ul><li>FPIs investing through the Route will be eligible to participate in repos for their cash management, provided that the amount borrowed or lent under repo shall not exceed 10% of their investment under VRR.<\/li><li>Moreover, FPIs investing under this route shall be eligible to participate in any currency or interest rate derivative instrument, OTC or exchange-traded, to manage their interest rate risk or currency risk<\/li><li>Investments made through the Route shall not be subject to any minimum residual maturity requirement, concentration limit or single\/group investor-wise limits applicable to corporate bonds as specified in paragraphs 4(b), (e) and (f) respectively of <strong>A.P. (DIR Series) Circular No. 31 dated June 15, 2018<\/strong><sup><a href=\"https:\/\/rbi.org.in\/Scripts\/NotificationUser.aspx?Id=11303&amp;Mode=0\">[3]<\/a><\/sup>.<\/li><li>Income from investments through the Route may be reinvested at the discretion of the FPI. Such investments will be permitted even more than CPS.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Other Operational Aspects<\/strong><\/h2>\n\n\n\n<ul><li>The utilization of limits and adherence to other requirements of this Route shall be the responsibility of both the <strong>FPI<\/strong> and its custodian.<\/li><li>Custodians shall not permit any repatriation from the cash accounts of an FPI if such transaction leads to the FPI&rsquo;s assets falling below the minimum stipulated level of 75% of CPS during the retention period.<\/li><li>Custodians shall have in place appropriate legal documentation with FPIs that enables them (custodians) to ensure that regulations under VRR are adhere to.<\/li><li>Moreover, FPIs shall open one or more separate Special Non-Resident Rupee (SNRR) account for investment through the Route. Foreign investors using the Voluntary Retention Route will get some operational freedom in return for locking funds into India for three years. Moreover, the scheme aims to draw in foreign investors who are willing to commit to keeping money in India for a minimum period.
