However, certain website disclosures are still a mystery for various business owners. Also, there are several disclosures which need to be made by different kind of businesses. However, in the case of Listed\nCompanies, Securities and Exchange Board of India (SEBI) has made it mandatory\nto maintain a functional and updated site with effect from April 2011.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\"><strong><em>Following Acts govern the mandatory\ndisclosures to be made on the website of the company:<\/em><\/strong><\/h4>\n\n\n\n<ul><li><em>Companies Act, 2013 and rules thereon<\/em><\/li><li><em>SEBI Listing (Obligations and Disclosure\nRequirements) Regulations, 2015<\/em><\/li><li><em>SEBI (Prohibition of Insider Trading)\nRegulations, 2015  <\/em><\/li><\/ul>\n\n\n\n<p>Moreover, as per Secretarial Standards,\nthe following must be displayed on the website of the company:<\/p>\n\n\n\n<ul><li><em>Notice of Postal Ballot<\/em><\/li><li><em>Results of the poll conducted<\/em><\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Disclosures by the Company which Conducts Online Business<\/strong><\/h2>\n\n\n\n<p>The companies which are generally in the\nbusiness of online services and marketing must disclose or publish:<\/p>\n\n\n\n<ul><li>Name\nof the company, <\/li><li>address\nof its registered office<\/li><li>the\nCIN of the company,<\/li><li>Telephone\nNumber,<\/li><li>Fax\nNumber if any,<\/li><li>Email\naddress, <\/li><li>The\nname of the person who may be contacted in case of any queries or grievances on\nthe landing\/ home page of the said website.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Disclosures\nby the Private Company<\/strong><\/h2>\n\n\n\n<p>The Private Company must:<\/p>\n\n\n\n<ul><li>Place the notice of the general meeting on the website of the company,<\/li><li>Disclose the details of the unpaid dividend including the names, the last known addresses of all those persons on the website of the company,<\/li><li>Provide details of the <a rel=\"noreferrer noopener\" aria-label=\"Corporate Social Responsibility Policy (opens in a new tab)\" href=\"https:\/\/enterslice.com\/learning\/applicability-corporate-social-responsibility\/\" target=\"_blank\">Corporate Social Responsibility Policy<\/a> in its report and on the website of the company,<\/li><li>Place separated audited accounts in respect of each of its subsidiary on its website,<\/li><li>Finally, any information about the resignation of the director must be placed on the website of the company within 30 days of the notice of the resignation.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Disclosures\nby the Public Limited Company<\/strong><\/h2>\n\n\n\n<p>A public company must in addition to the\nabove mention disclosures are required to publish following on their website:<\/p>\n\n\n\n<ul><li>The\nnotice of &ldquo;<em>Change of objects<\/em> <em>for which money is raised through prospectus<\/em>&rdquo;\nmust be placed on the website of the company,<\/li><li>Copy\nof circular of any invitation of deposits from the public must be on the\nwebsite of the company,<\/li><li>Closure\nof register of members or debenture holders or other security holders,<\/li><li>Notice\nof the postal ballot,<\/li><li>Results\nof the postal ballot shall be declared along with the scrutinizer&lsquo;s report,<\/li><li>Details\nof the establishment of the Vigil mechanism shall be disclosed by the company\non its website if any. <\/li><li>Terms\nof Appointment of Independent Director shall also be posted on the company&lsquo;s\nwebsite.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Disclosures\nby the Listed Company<\/strong><\/h2>\n\n\n\n<p>A listed company is mandatorily required\nto have a functional website. But as per Section 450 (Punishment where no specific penalty or punishment is provided) of the Companies Act, 2013, if the company or any officer of the company who is in default or such other person shall be punishable with fine which may extend to ten thousand rupees. Moreover, where the contravention is continuing one, a further fine of one thousand rupees for every day will be applicable after the first during which the contravention continues.<\/p>\n\n\n\n<p>Hence, it is highly advisable that the websites of\nthe companies must be updated. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>To Sum up<\/strong><\/h2>\n\n\n\n<p>Compliances are the significant scope of work in large corporations.
