Disposal Of Books And Papers Of Company"},"content":{"rendered":"\n<p><span id='easy-footnote-1-81531' class='easy-footnote-margin-adjust'><\/span><span class='easy-footnote'><a href='https:\/\/enterslice.com\/learning\/act\/companies-act-2013\/section-347\/#easy-footnote-bottom-1-81531' title='Subs. by Act 31 of 2016, s. 255 and the Eleventh Schedule, for sub-section (1) (w.e.f. 15-11-2016).'><sup>1<\/sup><\/a><\/span>(1) When the affairs of a company have been completely wound up and it is about to be dissolved, the books and papers of such company and those of the Company Liquidator may be disposed of in such manner as the Tribunal directs.]<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p>(2) After the expiry of five years from the dissolution of the company, no responsibility shall devolve on the company, the Company Liquidator, or any person to whom the custody of the books and papers has been entrusted, by reason of any book or paper not being forthcoming to any person claiming to be interested therein.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p>(3) The Central Government may, by rules,&#8211;<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p>(a) prevent for such period as it thinks proper the destruction of the books and papers of a company which has been wound up and of its Company Liquidator; and<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p>(b) enable any creditor or contributory of the company to make representations to the Central Government in respect of the matters specified in clause&nbsp;<em>(a)<\/em>&nbsp;and to appeal to the Tribunal from any order which may be made by the Central Government in the matter.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p>(4) If any person acts in contravention of any rule framed or an order made under sub-section\u00a0<em>(3)<\/em>, he shall be punishable\u00a0<span id='easy-footnote-2-81531' class='easy-footnote-margin-adjust'><\/span><span class='easy-footnote'><a href='https:\/\/enterslice.com\/learning\/act\/companies-act-2013\/section-347\/#easy-footnote-bottom-2-81531' title='The words &amp;#8220;with imprisonment for a term which may extend to six months or&amp;#8221; omitted by Act 29 of 2020, s. 49 (w.e.f. 21-12- 2020).'><sup>2<\/sup><\/a><\/span>*** with fine which may extend to\u00a0<span id='easy-footnote-3-81531' class='easy-footnote-margin-adjust'><\/span><span class='easy-footnote'><a href='https:\/\/enterslice.com\/learning\/act\/companies-act-2013\/section-347\/#easy-footnote-bottom-3-81531' title='Subs. by s. 49, ibid., for &amp;#8220;fifty thousand rupees, or with both&amp;#8221; (w.e.f. 21-12-2020)'><sup>3<\/sup><\/a><\/span>[fifty thousand rupees].<\/p>\n","protected":false},"excerpt":{"rendered":"<p>(1) When the affairs of a company have been completely wound up and it is about to be dissolved, the books and papers of such company and those of the Company Liquidator may be disposed of in such manner as the Tribunal directs.] (2) After the expiry of five years from the dissolution of the [&hellip;]<\/p>\n","protected":false},"author":4,"featured_media":79763,"parent":79755,"menu_order":0,"template":"","format":"standard","meta":[],"categories":[11445],"tags":[1007],"acf":{"service_id":"215"},"yoast_head":"<!-- This site is optimized with the Yoast SEO plugin v14.6.1 - https:\/\/yoast.com\/wordpress\/plugins\/seo\/ -->\n<title>Section 347.
